INTERNATIONAL TRADE LAW AND TRANSNATIONAL BUSINESS LAW
The course aims to delve into the issues related to the regulation of international contracts, identifying the regulatory sources and applicable reuglations, delving into the procedures for negotiating and drafting international contracts, and analysing the most common contractual models used in international trade practice (sale of goods, distribution, supply, agency, franchising and joint ventures). A second part of the course is dedicated to the analysis of the role played by the World Trade Organisation and how the definition of its responsibilities has historically been developed through the stipulation of agreements (GATT, TRIPs and GATS). Another part of the course wil be devoted to the analysis of judicial cooperation and international dispute settlement mechanisms.
Definition of international contracts, the law applicable to international contracts, lex mercatoria, negotiation and drafting of international contracts, international jurisidizion, alternative dispute resolution, international model contracts: sale of goods, distribution, supply, franchising, agency, joint venture, GATT, GATS, TRIPs, role and remit of the World Trade Organisation, international trade dispute settlement, trade relations with developing countries, crisis and reform of the World Trade Organisation. An addtional part will be devoted to the recognition and enforcement of judgments and selected international convention of jurisdcitional cooperation
