The first part of the course will be dedicated to Company Law in the United Kingdom, in the U.S.A. and in the European Union. In particular, the students will focus on the different company types, on trade names and trademarks, on the company management, on the incorporation and registration process, on mergers and acquisitions and LBO, on the role of the stock exchange, on comfort letters, contracts and typical company documentations, as well as on trade marks, intellectual and industrial property rights, on creative works and patents in the UK and in the U.S.A., on EPO and OHIM and the most relevant legal and judicial remedies..
In the second part of the course, students will examine the features of Criminal Law in the UK and in the U.S.A. and the most important related concepts (i.e. the elements of a crime, the criminal liability, the excuse and the criminal defenses, the circumstances of a crime and the participation in crime). In particular, students will analyze the most relevant crimes against person and against property (such as theft, fraud and embezzlement and other corporate crimes).
The third part of the course will focus on trust. In particular, students will analyze the Hague Convention on the Law Applicable to Trusts and on their Recognition, the types of trust, its general clauses and the difference between trust and trust company.
The final lessons will be dedicated to the law applicable to succession in Common Law countries, in particular in the United Kingdom and in the U.S.A. Students will examine the most important international conventions on the law applicable to successions and the main regulations and provisions of the European Union thereon (such as the creation of the so-called European Certificate of Succession).
